Body
WHEREAS, by Resolution 17684, dated September 26, 2011, the Legislature did award a contract for Legal Files Case and Matter Management System services for use by the Office of County Counselor to Legal Files Software, of Springfield, Illinois, as a sole source purchase, at a cost to the County not to exceed $67,914.00; and,
WHEREAS, subsequent resolutions have authorized additional licenses and related services for the Legal Files Software for use by the County Counselor’s Office, at an additional cost; and,
WHEREAS, the Office of the County Counselor desires to add a document email module to enhance the Legal Files Case Management System, at an additional cost to the County not to exceed $11,295.00; and,
WHEREAS, section 1030.1, Jackson County Code, 1984, eliminates the requirement for competitive bidding when items to be purchased can be obtained from only one source; and,
WHEREAS, the Director of Finance and Purchasing recommends that he not take competitive bids with regard to this software for the reason that Legal Files is the only company that provides the proprietary document email software module and is therefore a sole source; and,
WHEREAS, a transfer is necessary to place the funds required for this software in the appropriate spending account; and,
WHEREAS, the County Executive recommends said transfer; now therefore,
BE IT RESOLVED by the County Legislature of Jackson County, Missouri, that the following transfer within the 2016 General Fund be and is hereby made:

BE IT FURTHER RESOLVED by the County Legislature of Jackson County, Missouri, that the increase to the contract with Legal Files Software of Springfield, Illinois, in the amount of $11,295.00 for the furnishing of a document email module and related services for use by the Office of County Counselor is hereby authorized, and,
BE IT FURTHER RESOLVED that the Director of Finance and Purchasing be and is hereby authorized to execute for the County any documents necessary for the accomplishment of the increase, in a form to be approved by the County Counselor; and,
BE IT FURTHER RESOLVED that the Director of Finance and Purchasing be and hereby is authorized to make all payments, including the increase and final payment on the contract.

Effective Date: This Resolution shall be effective immediately upon its passage by a majority of the Legislature.
